Website Subscription & Management Services Addendum

1. ABOUT THIS ADDENDUM AND BRINOMI

  • 1.1. BRINOMI SERVIÇOS has the following website addresses https://brinomi.com and https://brinomi.com. Our corporate name is G. N. Nagamine Ltda, CNPJ: 57.569.862/0001-57.
  • 1.2. In the document we will refer to Brinomi Serviços, as “BRINOMI” or “we”.
  • 1.3. In this document, the client who hires us may be referred to as “CLIENT” or “you”.

2. WHO THIS DOCUMENT IS FOR

  • 2.1. This Website Subscription & Management Services Addendum (“Addendum”) applies to clients subscribing to BRINOMI’s monthly website plans. It supplements the Service Agreement Terms, https://brinomi.com/service-agreement-terms/, and applies specifically to fully managed website services provided on a subscription basis.
  • 2.2. By subscribing to a monthly website plan, the Client agrees to the terms below:

3. SERVICE MODEL

  • 3.1. The monthly website plan is a fully managed website service, not a one-time website purchase.
  • 3.2. BRINOMI provides a complete online presence solution, including website setup, hosting, maintenance, and technical management.
  • 3.3. The website remains hosted and managed by BRINOMI for the duration of the active subscription.

4. WHAT IS INCLUDED

  • 4.1. While the subscription is active, BRINOMI provides:
    • Website design and setup according to the selected plan
    • Secure hosting on managed servers
    • Technical maintenance and platform updates
    • Security monitoringand basic protection measures
    • Minor content updates (text or image replacements)
    • Ongoing technical support related to website functionality
    • Copywriting (only if CLIENT provide us with information in a meeting or filling a form, we need to know their business in order to write their text)

5. WHAT IS NOT INCLUDED

  • 5.1. Unless explicitly stated in the proposal, the subscription does not include:
    • Full redesigns or structural rebuilds
    • Major feature additions or custom development
    • Logo creation or branding services
  • 5.2. Such services may be quoted separately.

6. SUBSCRIPTION PAYMENTS

  • 6.1. The subscription fee is billed monthly and must be paid in advance.
  • 6.2. Payments must be made on the agreed billing date.
  • 6.3. Failure to pay may result in suspension of the website and related services.
  • 6.4. If payment remains overdue, BRINOMI reserves the right to take the website offline until the account is brought up to date.

7. MINIMUM TERM & CANCELATION

  • 7.1. The subscription may be cancelled at any time by the Client.
  • 7.2. No refunds are provided for fees already paid.
  • 7.3. Services remain active until the end of the current billing period.
  • 7.4. Upon cancellation, the website will be taken offline at the end of the paid period.

8. OWNERSHIP & WEBSITE ACCESS

  • 8.1. During the active subscription, the website infrastructure, configuration, and system setup remain under BRINOMI’s management.
  • 8.2. The Client is granted full use of the website while the subscription is active.
  • 8.3. Website files, system structure, or platform configuration are not provided while the subscription is active.

9. CONTENT OWNERSHIP

  • 9.1. The Client retains ownership of all content they provide, including text, logos, and images.
  • 9.2. The Client confirms they have the legal right to use all supplied content.

10. DOMAIN NAME

  • 10.1. The domain name should be registered in the Client’s name whenever possible.
  • 10.2. If BRINOMI assists with domain configuration, administrative access may remain with the Client.

11. TECHNICAL MAINTENANCE & PLATFORM CHANGES

  • 11.1. BRINOMI maintains the website platform to ensure performance, stability, and security.
  • 11.2. If a theme, plugin, or platform component becomes obsolete, insecure, or unsupported, BRINOMI may replace it with an equivalent solution.
  • 11.3. Significant redesign requests initiated by the Client are not included and may incur additional fees.

12. CLIENT RESPONSABILITIES

  • The Client agrees to:
    • provide accurate business information
    • review and approve content promptly
    • supply authorised images and materials
    • ensure compliance with applicable laws and regulations
  • Delays in providing information may delay delivery.

13. LIMITAION OF LIABILITY

  • 13.1. BRINOMI is not responsible for loss of business, revenue, or opportunities resulting from website downtime, third-party service failures, or factors outside its control.
  • 13.2. Website performance may be affected by external providers, including hosting infrastructure, domain registrars, internet connectivity, and search engine algorithms.

14. MODIFICATIONS TO SERVICE

  • 14.1 BRINOMI may improve or update technical aspects of the service to maintain performance, security, and reliability.

15. ACCEPTANCE

  • By subscribing to a monthly website plan, the Client confirms they understand and agree that:
    • the service is a fully managed website subscription
    • the website remains hosted and managed by BRINOMI while active
    • this subscription provides a managed online presence rather than a transferable website product.

16. FORUM

  • 16.1.The City of São Paulo is elected as the forum for deciding any dispute arising from this instrument.
